Company Secretarial Compliance
The Companies Act requires Limited Companies and Limited Liability Partnerships to file various statutory forms at Companies House at least annually and as and when there are changes to either the share capital structure of the company or to the company’s officers. Failure to comply with the Companies Act requirements can lead to financial penalties being imposed on the company.
This function is the responsibility of the Company Secretary although the administrative compliance associated with this can be included as part of your outsourced accounting solution. The key responsibilities include:
- Preparation and filing of Annual Returns
- Filing of Annual Financial Statements
- Maintaining Statutory Registers for Members, Directors etc
- Writing up statutory minutes for AGMs
